Migration into Jersey fom the Cayman Islands

Our services will include:

• preparing the relevant documentation so that the company adopts new articles of association which conform to Jersey law;

• preparing statements of solvency to be signed by each director and proposed director of the company;

• arranging for a legal opinion to be provided by a law firm in the Cayman Islands which would confirm that the company may migrate, that all necessary authorisations have been given and that the company will cease to be incorporated in the other jurisdiction upon its continuance to Jersey; and

• arranging for evidence that creditors will not be unfairly prejudiced (this may be confirmed by a director of the company).

Migration out from Jersey to the Cayman Islands

Our services will include:

• preparing the board and shareholder resolutions to approve the migration;

• making application to the Jersey Financial Services Commission to migrate the company;

• arranging creditor and other notices, in accordance with the necessary timescales; and

• providing a legal opinion to Registrar of Companies in the Cayman Islands which would confirm that the company may migrate, that all necessary authorisations have been given and that the company will cease to be incorporated in Jersey upon its continuance into the other jurisdiction.

Fees

Our typical fees are from:

• £3,000 for the migration of a company to Jersey from the Cayman Islands;

• £3,500 for the migration of a company to the Cayman Islands from Jersey.

We deliberately keep our fees for migrating companies in and out of Jersey lower than the market rate. Why?

On any given matter, we will be dealing with lawyers in at least one other jurisdiction, as well as a company administrator and an underlying client. There are many parties for us to work with and, hopefully, build a long-standing working relationship, that will lead to more opportunities.
