CPD Session 1: Capacity

How to identify a loss of capacity and what to do.

This session focuses on loss of capacity issues, for clients both in Jersey and overseas. How do you identify a loss of capacity? What actions should you take? How do you protect your business against claims or criticism arising from capacity issues.

The presentation, which involves active discussion, deals with lasting powers of attorney in Jersey and elsewhere, including how they are registered in Jersey. Delegateships (court appointed attorneys) are also covered, so that you will have a clear understanding of the Jersey processes and how to navigate them properly with your clients.

About the presenters

Janina Porter, Senior Associate, Head of Wills and Probate

Janina has worked in Jersey since November 2008 and has over 18 years’ experience in the following:

submitting probate applications to the Royal Court in cases where the deceased was non-domiciled;
the administration of local estates;
assisting and advising on the preparation of Wills for both our local and non-domiciled clients;
assisting and advising on the preparation of Lasting Powers of Attorney and Delegate matters; and
registration of foreign Lasting Powers of Attorney/Powers of Attorney in Jersey.

Advocate Andrew Pinel, Founding Partner, Pinel Advocates

Andrew established Pinel Advocates in 2010, having worked at larger Jersey law firms. He aimed to establish a firm that worked differently to other law firms, preferring fixed fees and not forcing billing targets on its staff. In doing so, he provided clients with certainty of service and fees. By removing unnecessary administration, Pinel Advocates can be more efficient and cost-effective.

CPD Session 2: Real Estate Transactions: Common Legal Issues

This session focuses on real estate finance transactions, a core of Pinel Advocates’ business for the past 16 years. We have advised on hundreds of real estate finance matters, working with lenders, borrowers and clients all around the world. Some legal issues arise time and again and this session will look at those. How do you identify them early? How do you fix them quickly and properly? We will cover issues such as share buybacks and cancellation of shares, how to deal with errors (and the lawyers identifying them!) and common Jersey legal negotiation points.

We will also look at typical security interest issues, including refinancing and subordination. Finally, we will look at common legal opinion issues, such as lender requirements, HM Land Registry and specific jurisdictional requirements.

Roisin Hocking, Senior Associate

Roisin is a Senior Associate and assists the team in a range of corporate, commercial, trust and fund matters. She often leads complex financing matters, working with others in the team, as well as external advisers and clients.

Typical matters on which Roisin assists the team include:

providing legal opinions in relation to Jersey companies and trusts;
providing advice in relation to corporate restructurings, reinstatements and migrations;
UK real estate financing for both lenders and borrowers.
